Build-Operate-Transfer: take over your India team on agreed terms.
As your AI operating partner, we build and run your team in your entity; BOT adds the right to take over management.
A clause inside COPO, with the takeover terms written into the services agreement on day one.
BOT is a clause inside COPO
Your entity employs the team from day one. The BOT clause adds the right to take over operational management from Reliable Group on pre-agreed terms.

| Who operates | Reliable Group, under your direction | Reliable Group runs daily operations; you direct the work | Reliable Group, until you exercise the takeover right |
| What transfers | The team, into your entity | Nothing has to: functions move in house at your pace | Management responsibilities and the operating assets Reliable Group held |
| Timing | When your entity is ready | No fixed handoff date | On pre-agreed terms, within 24 to 36 months |
Operating assets Reliable Group held means leases, equipment, vendor contracts, documentation, AI workflows and data access. Your client-specific workflows, data and documentation are yours. Trace is Reliable Group software, licensed under the engagement; third-party tools keep their own license terms. Open-source components and third-party models keep their own licenses, and Reliable Group's pre-existing tools and methods remain ours. Your engagement contract governs.
Not ready to own an India entity? Start in Flexi: the team sits in our entity and moves into yours once it exists, then continues as COPO, with or without a BOT clause. How Flexi works
The BOT Process
Five steps from planning to a takeover of management, with the entity and the team in your name throughout.
Discovery and planning
We map the work, define the team structure, choose Pune, Mumbai or Hyderabad, and write the takeover terms into the services agreement.
Your entity and infrastructure
You incorporate your Indian entity with our help. While it registers, we set up the office, IT and the vendor contracts we hold until takeover.
Hiring into your entity
We recruit to your specifications. Every offer letter goes out under your entity, so employment never has to transfer.
Operate and stabilize
Reliable Group runs HR, payroll, statutory filings, facilities and vendors, and documents the work in systems, while your leaders direct it.
Takeover
Once the readiness gates are met, within 24 to 36 months, your leadership takes over management and the operating assets we held.
Note: steps 2 and 3 overlap. Entity registration and candidate sourcing begin together, and offers go out as soon as your entity can issue them.
What Transfers, and What Was Already Yours
Under a BOT clause the entity and the team are yours from the start. What transfers is management, and the operating assets Reliable Group held to run the center.
A BOT clause sets a takeover window of 24 to 36 months, and the takeover of management happens once the agreed readiness conditions are met. Actual timing depends on team maturity, the completeness of process documentation and the readiness of your own leadership to take over.
Yours from day one
- Entity
- Registered in your name before the first hire. Nothing about the entity transfers at takeover.
- Employment
- Every offer letter goes out under your entity, so the team already works for you. Takeover changes who manages the team, not who employs it.
- Workflows and data
- Your client-specific workflows, data and documentation are yours. Trace is Reliable Group software, licensed under the engagement; third-party tools keep their own license terms.
What transfers at takeover
- Management
- Named-role handover with a defined overlap period. Your leadership shadows, then runs, before Reliable Group steps back.
- Leases and equipment
- Office leases we held are assigned to your entity or replaced by a lease in its name, with the endpoint and infrastructure inventory, asset tags and warranty status.
- Vendor contracts
- Agreements we held are assigned or re-executed in your entity's name: connectivity, security tooling, benefits providers and statutory service providers.
- Documentation
- Process documentation, standard operating procedures, training material, the exception register and the escalation paths, current as of the takeover date rather than reconstructed afterward.
- AI workflows
- Workflow specifications, prompt and policy libraries, evaluation sets and accumulated memory built for your work. Trace stays Reliable Group software, licensed under the engagement.
- Data access
- Administrative access to your systems and operating data moves to your named owners, with the audit trail and a documented chain of custody.
Entity structure, foreign investment treatment, tax residency, permanent establishment and employee-transfer mechanics are jurisdiction and sector specific. Nothing here is legal or tax advice. Reliable Group works alongside your counsel and tax advisers, who own those opinions.
Takeover-readiness gates
- Documented processes for every in-scope workflow, validated by your team rather than by ours.
- Attrition and hiring pipeline stable enough that takeover does not coincide with a staffing gap.
- Local leadership in place, with a named successor for each Reliable Group management role.
- Statutory filings current, with no open compliance items at the entity level.
- Quality and throughput holding at target through at least two consecutive review cycles.
- Your systems, access controls and security tooling operating independently of Reliable Group administration.
Your named owner signs off each gate against the evidence: the documentation, the filings record and the review-cycle results.
What can delay it
- Key-role vacancies open at the planned takeover date.
- A pending statutory or tax matter that counsel advises should close first.
- Quality or volume still moving, so a stable baseline has not been established.
- Your own readiness: an internal reorganization, systems migration or transaction in flight.
Takeover is gated on readiness, not on the calendar. A date that arrives before the gates are met moves; that is the point of agreeing on the gates up front. The services agreement sets the commercial terms for the operate phase and for takeover.
Why BOT Works
Setup Risk Sits With Us
We run the setup work in India: office, IT, hiring and registrations. You get a running center in your own entity, not a project plan.
Defined Time to Operation
The window from engagement to your first team members sitting in an operational office is agreed up front, in the services agreement.
Your Team From Day One
Every person we hire is employed by your entity. They learn your business and build knowledge that stays inside your company.
AI Workflows Built to Hand Over
Workflows run on your data and are documented so your named owners can take them over: specifications, memory and governance routing.
Defined Exit Path
The takeover terms, the window and the readiness gates are agreed up front, in the services agreement.
BOT Is Best For
Companies that want takeover terms agreed on day one, not negotiated later
Companies that want to own the India entity without running India operations during the ramp
Organizations setting up their first India entity, with no local operating experience
Organizations whose legal or procurement teams prefer a defined takeover event with contractual milestones over an open-ended services agreement
Companies that want to evaluate the partner's operating capability before taking over management
Mid-market companies building their first international operation
Organizations where the India center is a board-level initiative and the CEO needs a partner who carries the delivery risk during ramp
Your entity from day one, management on agreed terms. Start with a discovery of one department.
A fixed-fee discovery of one department, six to eight weeks, ending in a workflow map and a fixed-price proposal for the first build. It shows where automation and AI fit and where the work still needs people, so the team is scoped around measured work.
